North Render Subscription Services Terms & Conditions

1. Acceptance of Terms


1.1. By accessing or using North Render's services, you agree to be bound by these Terms of Service. If you do not agree with all of these terms, please do not use our services.
1.2. Upon engaging North Render's services, it is assumed that all files, data, and materials provided by the customer belong to the customer. This includes, but is not limited to, any images, plans, specifications, or other technical documents supplied by the customer for the purpose of architectural rendering. North Render holds a deep respect for North Rendership and intellectual property rights associated with the customer's files. These files are considered confidential, and North Render acknowledges the importance of safeguarding this information.
1.3. North Render explicitly acknowledges that all intellectual property rights to the content, materials, and designs developed as part of the rendering services belong exclusively to the client. Once the rendering services are completed, the client retains full ownership of all intellectual property associated with the delivered visualisations. This includes the right to reproduce, distribute, and create derivative works without the need for North Render's further consent. North Render commits to not using, reproducing, or distributing the completed visualisations for any purpose other than fulfilling the client's specific requests without explicit written permission from the client.
1.4. North Render will not share, sell, or disclose the customer's files to third parties without the express written consent of the customer. We understand the sensitivity and confidentiality of the materials provided by our clients and will take all necessary precautions to ensure their secure handling.
1.5. This commitment to respecting the customer's ownership of provided files and intellectual property aligns with North Render's dedication to transparency, integrity, and client satisfaction.
1.6. To utilise the services provided by North Render, users may register or create a user account, supplying all necessary data or information accurately and truthfully.


2. Subscription and Registration


2.1. North Render offers a monthly subscription plan for architectural rendering services, allowing subscribers to access use North Renders rendering capabilities.
2.2. Subscribers are required to provide accurate and up-to-date billing information for the subscription payment.
2.3. By registering, users agree to be fully responsible for all activities that occur under their username and password.
2.4. Unless explicitly permitted, each user must register only one account.
2.5. Accounts registered by bots or any other automated methods are not permitted.
2.6. A user account may not be shared with other persons unless explicitly permitted.


3. User Account Security


3.1. Users are responsible for maintaining the confidentiality and security of their login credentials.
3.2. Users are required to choose passwords that meet the highest standards.
3.3. Users are required to immediately and unambiguously inform North Render, through the contact details indicated in this document, if they suspect that their personal information, including but not limited to user accounts, access credentials, or personal data, has been violated, unduly disclosed, or stolen.


4. Billing and Payment


4.1. Subscription fees are billed on a monthly basis in advance.
4.2. North Render reserves the right to modify subscription fees with prior notice to subscribers.
4.3. Payments are processed through Stripe.com which is a secure and authorised payment gateway provider.


5. Cancellation and Refunds


5.1. Subscribers may cancel their subscription at any time, and as payments are taken in advance, cancellation will be effective at the end of the current billing period.
5.2. No refunds will be provided for partial subscription periods.
5.3. Users can terminate their account and stop using the service at any time by directly contacting North Render at the contact details provided in this document.
5.4. However, full termination of the account will not be possible until the end of the paid subscription period.


6. Account Suspension and Deletion


6.1. North Render reserves the right, at its sole discretion, to suspend or delete at any time and without notice, user accounts which it deems inappropriate, offensive, or in violation of these terms.
6.2. The suspension or deletion of user accounts shall not entitle users to any claims for compensation, damages, or reimbursement.
6.3. The suspension or deletion of accounts due to causes attributable to the user does not exempt the user from paying any applicable fees or prices.


7. Intellectual Property


7.1. All intellectual property rights related to the architectural rendering products provided by North Render remain the exclusive property of the client.
7.2. Subscribers retain intellectual property rights to their original content uploaded or rendered through the North Render platform.


8. North Render Content


8.1. Unless where otherwise specified or clearly recognisable, all content produced by North Render for its sole use is owned or provided by North Render or its licensors.
8.2. North Render undertakes its utmost effort to ensure that the content provided by North Render infringes no applicable legal provisions or third-party rights. However, it may not always be possible to achieve such a result. In such cases, without prejudice to any legal prerogatives of users to enforce their rights, users are kindly asked to preferably report related complaints using the contact details provided in this document.
8.3. Rights regarding content on North Render website - All rights reserved. North Render holds and reserves all intellectual property rights for any such content. Users may not, therefore, use such content in any way that is not necessary or implicit in the proper use of the Service. In particular, but without limitation, users may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties or create derivative works from the content available on NorthRender.com, nor allow any third party to do so through the user or their device, even without the user's knowledge.
8.5. Any applicable statutory limitation or exception to copyright shall stay unaffected.


9. Content provided by Users


9.1. North Render allows users to upload, share, or provide their own content to North Render.
9.2. By providing content to North Render, users confirm that they are legally allowed to do so and that they are not infringing any statutory provisions and/or third-party rights.
9.3. Further insights regarding acceptable content can be found inside the section of these Terms which detail the acceptable uses.
9.4. Users are solely liable for any content they upload, post, share, or provide through North Render.
9.5. Users acknowledge and accept that North Render filters or moderates such content in a preventative manner.
9.6. Therefore, North Render reserves the right to refuse, censor, remove, delete, block, or rectify such content at its discretion and to deny access to North Render to the uploading user without prior notice if it considers such content to infringe any applicable legal provision or third party right or to otherwise represent a risk for users, third parties, North Render, and/or the availability of the Service.
9.7. The removal, deletion, blocking, or rectification of content shall not entitle users that have provided such content or that are liable for it to any claims for compensation, damages, or reimbursement.
9.8. Users agree to hold North Render harmless from and against any claim asserted and/or damage suffered due to content they provided to or provided through North Render.


10. Access to Provided Content


10.1. Content that users provide to North Render is made available according to the criteria outlined within this section.
10.2. Publicly Available Content: - Content meant for public availability shall be automatically made public on North Render upon upload or, at the sole discretion of North Render, at a later stage. - Any personal data, identifier, or any other information that users upload in connection with such content (such as a User-ID, avatar, or nickname, etc.) shall also appear in connection with the published content.
10.3. Private Content: - Private content provided by users shall stay private and will not be shared with any third parties or accessed by North Render without the user’s explicit consent.
10.4. Content for Determined Audiences: - Content meant to be made available to specific audiences may only be shared with such third parties as determined by users. - Any personal data, identifier, or any other information users upload in connection with such content (such as a User-ID, avatar, or nickname, etc.) shall also appear in connection with the content. - Users and are encouraged to state who can access the content they provide.


11. Access to External Resources


11.1. Through North Render, users may access external resources provided by third parties.
11.2. Users acknowledge and accept that North Render has no control over such resources and is therefore not responsible for their content and availability.
11.3. Conditions Applicable to Third-Party Resources: - Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third party’s terms and conditions or, in the absence of those, applicable statutory law.
11.4. Advertisements by Third Parties: - In particular, on North Render, users may see advertisements provided by third parties. - North Render does not control or moderate the advertisements displayed via North Render. - If users click on any such advertisement, they will be interacting with any third party responsible for that advertisement.
11.5. Responsibility for Interaction with Third Parties: - North Render is not responsible for any matters resulting from such interaction with third parties, such as anything resulting from visiting third-party websites or using third-party content.


12. How to File a Takedown Notice


12.1. If copyright holders or their agents believe that any content from North Render infringes upon their copyrights, they should provide North Render with the following information in writing:
12.2. A physical or electronic signature of a person authorised to act on behalf of the holder of an exclusive right that is allegedly infringed;
12.2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
12.3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit North Render to locate the material;
12.4. Information reasonably sufficient to permit North Render to contact the notifying party, such as an address, telephone number, and, if available, an electronic mail;
12.5. A statement that the notifying party has a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and
12.6. A statement that the information in the notification is accurate, and under penalty of perjury, that the notifying party is authorised to act on behalf of North Render of an exclusive right that is allegedly infringed.
12.6. Failure to comply with all of the requirements outlined above may result in invalidity of the DMCA/copyright notice.
12.7. Copyright infringement notifications may be addressed to North Render’s Copyright Agent at the contact details specified in this document.


13. Use of Services


13.1. Subscribers agree not to use the services for any illegal or unauthorised purposes.
13.2. North Render reserves the right to suspend or terminate subscriptions for any violation of these terms.


14. Acceptable Use


14.1. North Render and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law.
14.2. Users are solely responsible for making sure that their use of North Render and/or the Service violates no applicable law, regulations, or third-party rights.
14.3. Therefore, North Render reserves the right to take any appropriate measure to protect its legitimate interests, including denying users access to North Render or the Service, terminating contracts, reporting any misconduct performed through North Render or the Service to the competent authorities – such as judicial or administrative authorities - whenever users are suspected to be in violation of any laws, regulations, third-party rights and/or these Terms, including, but not limited to, by engaging in any of the following activities:


15. Conduct Restrictions


Users are prohibited from engaging in the following activities:
Pretending to fulfil any possible condition or requirements for accessing North Render and/or using the Services, such as, for instance, being adult according to law or qualifying as a Consumer;


15.1. Concealing their identity or stealing someone else's identity or pretending to be or represent a third-party if not allowed to do so by such third-party;
15.2. Manipulating identifiers to disguise or otherwise conceal the origin of their messages or of the content posted;
15.3. Defaming, abusing, harassing, using threatening practices, threatening or violating the legal rights of others in any other way;
15.4. Promoting activity that may endanger the User’s life or the life of any other User or lead to physical harm. This includes but is not limited to suicide threats or instigations, intentional physical trauma, the use of illegal drugs, or excessive drinking. Under no circumstance is any User allowed to post any content promoting and/or encouraging and/or showing any self-destructive or violent behaviour towards North Render;
15.5. Probing, scanning or testing the vulnerability of North Render, including the services or any network connected to the website, nor breaching the security or authentication measures on North Render, including the services or any network connected to North Render;
15.6. Installing, embedding, uploading or otherwise incorporating any malware into or via North Render;
15.7. Using North Render or the technical infrastructure in an abusive, excessive, or otherwise inappropriate way (for example: for spamming purposes);
15.8. Attempting to disrupt or tamper with the technical infrastructure in a manner that harms or places an undue burden on North Render or the Service.
15.9. Failing to pay for services purchased.


16. Australian Users


Limitation of Liability:
16.1. Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy which the User may have under the Competition and Consumer Act 2010 or any similar State and Territory legislation and which cannot be excluded, restricted, or modified (non-excludable right).
16.2. To the fullest extent permitted by law, our liability to the User, including liability for a breach of a non-excludable right and liability which is not otherwise excluded under these Terms of Use, is limited, at North Render’s sole discretion, to the re-performance of the services or the payment of the cost of having the services supplied again.


17. US Users


17.1.1. North Render is provided strictly on an “as is” and “as available” basis. Use of the Service is at Users’ own risk.
17.1.2. To the maximum extent permitted by applicable law, North Render expressly disclaims all conditions, representations, and warranties — whether express, implied, statutory or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
17.1.3 No advice or information, whether oral or written, obtained by user from owner or through the Service will create any warranty not expressly stated herein.
17.1.4. North Render, its subsidiaries, affiliates, licensors, officers, directors, agents, co- branders, partners, suppliers, and employees do not warrant that the content is accurate, reliable, or correct; that the Service will meet Users’ requirements; that the Service will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components.
17.1.5. Any content downloaded or otherwise obtained through the use of the Service is downloaded at users' own risk, and users shall be solely responsible for any damage to Users’ computer system or mobile device or loss of data that results from such download or Users’ use of the Service.
17.1.6. North Render does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service or any hyperlinked website or service, and North Render shall not be a party to or in any way monitor any transaction between Users and third-party providers of products or services.
17.1.7. The Service may become inaccessible or it may not function properly with Users’ web browser, mobile device, and/or operating system. North Render cannot be held liable for any perceived or actual damages arising from Service content, operation, or use of this Service.
17.2.1. Federal law, some states, and other jurisdictions do not allow the exclusion and limitations of certain implied warranties. The above exclusions may not apply to Users. This Agreement gives Users specific legal rights, and Users may also have other rights which vary from state to state. The disclaimers and exclusions under this agreement shall not apply to the extent prohibited by applicable law.
17.2.2. To the maximum extent permitted by applicable law, in no event shall North Render, and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
17.2.3. In no event shall North Render, and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees be liable for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount paid by User to North Render hereunder in the preceding 12 months, or the period of duration of this agreement between North Render and User, whichever is shorter.
17.2.4. This limitation of liability section shall apply to the fullest extent permitted by law in the applicable jurisdiction, whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the company has been advised of the possibility of such damage.
17.2.5. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; therefore, the above limitations or exclusions may not apply to User. The terms give User specific legal rights, and User may also have other rights which vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under the terms shall not apply to the extent prohibited by applicable law.
17.3.1. The User agrees to defend, indemnify, and hold North Render and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs, or debt, and expenses, including, but not limited to, legal fees and expenses, arising from:
17.3.2. User’s use of and access to the Service, including any data or content transmitted or received by User;
17.3.3. User’s violation of these terms, including, but not limited to, User’s breach of any of the representations and warranties set forth in these terms;
17.3.4. User’s violation of any third-party rights, including, but not limited to, any right of privacy or intellectual property rights;
17.3.5 User’s violation of any statutory law, rule, or regulation;
17.3.6. Any content that is submitted from User’s account, including third party access with User’s unique username, password or other security measure, if applicable, including, but not limited to, misleading, false, or inaccurate information;
17.3.7. User’s wilful misconduct
17.3.8. Statutory provision by User or its affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees to the extent allowed by applicable law.


18. New Zealand Users


18.1. If the User is acquiring services for business purposes, the Consumer Guarantees Act 1993 does not apply.
18.2. If the User is acquiring services as a consumer, these terms and the provision of our services will be subject to the Consumer Guarantees Act 1993.
18.3. Where the User is deemed to be a consumer under the Consumer Guarantees Act 1993, the User will have the benefit of certain guarantees in respect of the services provided by us.
18.4. If the User is acquiring services for business purposes, these terms will apply and the Consumer Guarantees Act 1993 will not apply.


19. Canadian Users


19.1. Consumer Protection Laws:
19.2. If the User is acquiring services for business purposes, any statutory rights the User may have as a consumer under Canadian consumer protection laws will not apply.
19.3. If the User is acquiring services as a consumer, these terms and the provision of our services will be subject to any statutory rights the User may have as a consumer under Canadian consumer protection laws.


20. Severability


20.1.1. Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceable nature of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
20.1.2 Any such invalid or unenforceable provision will be interpreted, construed and reformed to the extent reasonably required to render it valid, enforceable and consistent with its original intent. These Terms constitute the entire Agreement between Users and North Render with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.
20.2.1 Should any provision of these Terms be or be deemed void, invalid or unenforceable, the parties shall do their best to find, in an amicable way, an agreement on valid and enforceable provisions thereby substituting the void, invalid or unenforceable parts.
20.2.2 In case of failure to do so, the void, invalid or unenforceable provisions shall be replaced by the applicable statutory provisions, if so permitted or stated under the applicable law.
20.2.3. Without prejudice to the above, the nullity, invalidity or the impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the contract if they had known that the provision would not be valid, or in cases where the remaining provisions would translate into an unacceptable hardship on any of the parties.

21. Governing Law


These Terms are governed by the law of the United Kingdom of Great Britain and Northern Ireland, without regard to conflict of laws principles.The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of the United Kingdom of Great Britain and Northern Ireland.

22. Dispute Resolution


22.1.1. Users may bring any disputes to North Render who will try to resolve them amicably.
22.1.2. While Users' right to take legal action shall always remain unaffected, in the event of any controversy regarding the use of North Render or the Service, Users are kindly asked to contact North Render at the contact details provided in this document.
22.1.3. The User may submit the complaint, including a brief description and if applicable, the details of the related order, purchase, or account, to North Render’s email address specified in this document.
22.1.4. North Render will process the complaint without undue delay and within 21 days of receiving it.


22. Data Privacy


22.1. North Render will handle subscriber data in accordance with GDPR data protection laws.
22.2. Subscriber data will only be used for the purpose of billing and providing and improving the rendering services.


23. Limitation of Liability


23.1. North Render is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the architectural rendering services.
